Case 1 — MPX Packaging

Sector: Industrial Packaging
Mandate: Sell-side advisory to onboard a strategic partner
 
Challenge:

MPX Packaging was a well-established industrial packaging company whose shareholders relied on informal estimates of €10M–€12M for the company’s value, based solely on generic EBITDA multiples. The absence of a formal valuation and structured investor approach risked substantial undervaluation and a weak negotiating position in the market.

 
CBP Approach:

CBP designed and executed a comprehensive valuation framework, leveraging Discounted Cash Flow (DCF), trading comparables, and precedent transaction analyses. We developed a robust financial model and growth narrative, repositioned the company around sector-specific value drivers, and prepared high-quality investment materials. A targeted investor outreach program was launched to attract and screen strategic partners most likely to deliver long-term value.

 
Impact:

CBP established a credible valuation range of €14.4M to €25.4M, with a central value of €19.9M. Within 8 weeks, four high-quality investors submitted formal expressions of interest. The selected offer exceeded €24.5M, delivering a +100% uplift relative to the original internal estimate — and brought in a long-term strategic partner fully aligned with the company’s future roadmap.

Case 2 — Old Farm SA

Sector: Premium Food & Agribusiness

Mandate: Full buy-side support for an international investor
 
Challenge:

Old Farm SA presented a high-friction buy-side situation: limited financial transparency at the outset, no management-grade forecast, no structured sale process, and incomplete financial documentation. This created a material risk of overpaying and discovering issues only after closing. The investor needed an accelerated, defensible process to price the asset correctly and protect downside.

 
CBP Approach:

CBP led an end-to-end buy-side process built for speed and defensibility. We delivered an independent valuation using a multi-method framework (DCF, trading multiples, transaction benchmarks) and complemented it with a red-flag operational and compliance diagnostic to surface value-critical risks early. We translated those risks into valuation and pricing adjustments, structured protections to safeguard the investor, supported negotiations with clear pricing logic, and coordinated the full path from due diligence to closing.

Impact:

CBP established a defensible Enterprise Value (EV) range of €4.88M to €5.94M for the target, supported by DCF (including APV) and market benchmarks. With net debt of c. €4.26M, this translated into an implied equity value range of c. €0.62M to €1.68M, providing a precise negotiation anchor. Our qualitative risk assessment drove a disciplined de-rating of peer trading multiples (-35.6%) and a company-specific equity risk premium, ensuring pricing reflected business reality rather than headline peer multiples. The transaction closed with zero post-deal surprises and rapid post-acquisition integration, supporting EBITDA progression above industry benchmarks in the first year.
